Blasters Trucking Solution Hubs (BtSh) — Terms of Service

These Terms govern your access to and use of the BtSh Platform, including the website, dashboards (Admin, Shipper, Dispatcher, Carrier, Driver), and related services (“Platform”). BtSh operates with minimal automation: decisions and execution remain controlled by the parties. If you do not agree, do not use the Platform.

Important: BtSh is a platform that connects verified parties and supports coordination, record-keeping, and operational workflow. BtSh is not a carrier, not a freight forwarder, and does not physically transport goods. The Shipper, Dispatcher, Carrier, and Driver remain responsible for their agreements, compliance, performance, and dispute handling as set out below.

1. Scope

These Terms apply to every user of BtSh, including visitors and registered users. By accessing or using the Platform, you agree to be bound by these Terms. Where additional policies apply (e.g., Privacy Notice, Cookie Notice, Community Guidelines), they are incorporated into these Terms.

BtSh provides workflow support such as: account management, load posting, assignment coordination, record keeping, optional payment tracking, and activity logging. BtSh may introduce features over time, but the Platform is designed around minimal automation and human-led operations.

2. Roles & responsibilities

  • Shipper posts load details and is responsible for the legality, packaging, documents, and accuracy of load information.
  • Dispatcher coordinates sourcing and negotiation and may earn a commission agreed with the Carrier (and/or Shipper where applicable).
  • Carrier provides trucks and capacity and is responsible for execution, driver management, vehicle readiness, and safety.
  • Driver executes pickup, transit, and delivery under the Carrier’s authority and must follow lawful instructions and safety rules.
  • Admin manages platform operations, verification, and enforcement of platform rules.

BtSh does not supervise physical loading/unloading. Parties must independently confirm identity, cargo condition, and documentation at pickup and delivery.

3. Platform fees, commissions & statutory deductions

3.1 Dispatcher ↔ Carrier Commission Agreement

By accepting or executing any load coordinated via BtSh, the Carrier acknowledges and agrees that the Dispatcher is entitled to a commission equal to eight percent (8%) of the agreed freight amount payable to the Carrier for that load, unless otherwise explicitly agreed in writing within the Platform.

The Carrier authorizes BtSh to record, track, and where applicable deduct or reflect such commission from settlements processed through the Platform.

3.2 Carrier ↔ Platform Fee Agreement

The Carrier agrees to pay BtSh a two percent (2%) platform usage fee calculated on the total freight payable to the Carrier for each load executed via the Platform.

This fee supports system infrastructure, compliance monitoring, escrow management, audit logging, and operational oversight.

3.3 Shipper ↔ Platform Fee Agreement

The Shipper agrees to pay BtSh a thirteen and a half percent (13.5%) platform fee calculated on the base freight amount for each load posted and executed via the Platform.

3.4 VAT Agreement (Shipper)

The Shipper acknowledges that Value Added Tax (VAT) at the prevailing statutory rate (currently 7.5% in Nigeria) shall apply to the Platform Fee only.

The Shipper authorizes BtSh to collect and remit VAT to the appropriate government authority as required by law.

3.5 Dispatcher Withholding Tax (WHT)

Dispatchers acknowledge that a five percent (5%) Withholding Tax (WHT) may be deducted from their commission earnings in accordance with Nigerian tax law, and remitted to the appropriate government authority.

3.6 Dispatcher Platform Charge

Dispatchers further agree to a five percent (5%) platform service charge on earned commission to support operational infrastructure, compliance systems, and enforcement mechanisms.

3.7 Withdrawal Charges

All users agree that withdrawals from the Platform wallet may attract bank charges, processing fees, payment gateway fees, or other third-party costs, which shall be borne by the withdrawing user.

3.8 Dispatcher Compulsory Personal Point Value Obligation

Dispatchers acknowledge that they may be require to buy 500 personal point value (500PV) or minimum of 100PV monthly from every earnings for personal health investment (PHI) for personal Neolife business growths and that a minimum of 50% or less of all earnings may be reinvested to Neolife business.

4. Shipper agreement

  • You will provide accurate load information (type, weight, addresses, contact persons, time windows, special handling).
  • You warrant you have the right to ship the goods and that the goods are lawful.
  • You will ensure proper packaging and documentation required for transport and delivery.
  • You will cooperate with verification, safety checks, and incident reporting where applicable.
  • You agree to handle claims fairly and promptly, including where damage arises from packaging or documentation issues.
  • You acknowledge and accept the 13.5% Platform fee obligation.
  • You acknowledge VAT (7.5% of Platform fee) is payable and remittable through BtSh.
  • You understand refunds are subject to deductions as stated in Section 10.
  • You agree that repeated escrow failures or payment defaults may result in suspension.

5. Dispatcher agreement

  • You will communicate truthfully and professionally, and you will not misrepresent load details or parties.
  • You will not demand unlawful fees, hide terms, or manipulate pricing through deception.
  • You will act as a coordinator, not as a carrier, unless you are explicitly registered as such.
  • You acknowledge commissions are earned based on agreed terms and successful coordination as defined by the parties.
  • You acknowledge the 5% Withholding Tax deduction obligation.
  • You acknowledge the 5% Platform service charge on earned commission.
  • You understand commission is earned upon coordination and match confirmation.

6. Carrier agreement

  • You will provide roadworthy vehicles, qualified drivers, and lawful documentation for transport.
  • You accept responsibility for operational execution, driver conduct, safety, and trip integrity.
  • You agree to pay BtSh the stated platform usage fee for loads executed via the Platform.
  • You agree to pay Dispatcher commissions as agreed when you accept/confirm the arrangement.
  • You will not bypass BtSh records where it undermines platform integrity or agreed platform fees.
  • You acknowledge and accept the 8% Dispatcher commission obligation.
  • You acknowledge and accept the 2% Platform fee obligation.

7. Driver agreement

  • You will comply with lawful instructions, safety procedures, and verification steps at pickup and delivery.
  • You will not tamper with cargo, documents, seals, or proof of delivery.
  • You will keep trip status updates truthful (where applicable in the Platform).

8. Acceptable use

You must not:

  • Use BtSh for fraud, impersonation, theft, or illegal transport.
  • Attempt to access accounts or data you do not own or control.
  • Upload malicious code or abuse platform endpoints.
  • Harass users, threaten violence, or facilitate unsafe operations.

9. Compliance & verification

BtSh may require verification steps such as identity checks, business checks, vehicle checks, and documentation uploads. BtSh may suspend or restrict accounts that fail verification or violate these Terms.

10. Disputes, refunds & cancellations

10.1 Escrow & Refund Policy – Before Pickup

Where escrow has been funded but the load has not proceeded beyond pickup, the Shipper agrees that any refund shall be calculated as:

  • Total Escrow / Invoice Amount
  • Less Platform Fee (13.5%)
  • Less VAT (7.5% of Platform Fee)
  • Less Dispatcher Commission (8%)

The Dispatcher commission remains payable because coordination, sourcing, negotiation, and administrative work have already been performed.

10.2 Refund – After Pickup or In-Transit

Where the load has proceeded beyond pickup, entered transit, or where operational resources have been committed, any refund shall be determined at the sole discretion of BtSh Admin, based on investigation, documented activity logs, mileage, time invested, asset deployment, and financial calculations.

Such determination shall be final unless otherwise required by law.

10.3 Chargebacks

Users agree not to initiate unjustified chargebacks. Where a chargeback is initiated without valid grounds, BtSh reserves the right to suspend accounts and recover associated costs.

11. Liability, disclaimers & indemnity

The Platform is provided “as is.” BtSh does not guarantee uninterrupted access, error-free operation, or outcomes of third-party performance. BtSh is not liable for loss arising from the physical transport of goods, except where required by law.

You agree to indemnify BtSh for claims arising from your breach, unlawful goods, misrepresentation, or negligence.

12. Suspension & termination

BtSh may suspend or terminate accounts for violations, fraud risk, repeated disputes, non-payment of fees, or compliance concerns. Users may stop using the Platform at any time, subject to outstanding obligations (fees, disputes, or verified claims).

14. Escrow & payment governance

14.1 Escrow Holding

Where escrow functionality is used, funds are held for transaction transparency and workflow integrity. Escrow is not a banking service and does not create a trust, custodial, or fiduciary relationship.

14.2 Escrow Release Conditions

  • Confirmation of pickup and delivery.
  • No active dispute within the allowed window.
  • Compliance with platform documentation requirements.

14.3 Escrow Expiry

Escrow may expire automatically if payment is not completed within the system-defined timeframe based on load priority. Expired escrows may revert load status without liability to BtSh.

14.4 Escrow Failure

Repeated escrow failures, delayed funding, or deliberate payment avoidance may result in account restriction or suspension.

15. Platform governance & enforcement

BtSh Admin reserves the right to investigate transactions, review communication logs, analyze financial records, and enforce corrective action where necessary.

  • Temporary suspension of accounts.
  • Permanent termination for fraud or abuse.
  • Financial adjustments based on verified investigation.
  • Restriction of wallet or withdrawal privileges.

Administrative decisions are based on documented platform records and may be final unless otherwise required by law.

16. Wallet & fund management

BtSh wallets are operational ledgers used for transaction tracking. They are not savings accounts and do not generate interest.

  • Users are responsible for verifying transfer details.
  • Incorrect bank information is the user's responsibility.
  • Processing times may vary based on banking partners.
  • Fraud monitoring may delay withdrawals.
