These Terms govern your access to and use of the BtSh Platform, including the website, dashboards (Admin, Shipper, Dispatcher, Carrier, Driver), and related services (“Platform”). BtSh operates with minimal automation: decisions and execution remain controlled by the parties. If you do not agree, do not use the Platform.
These Terms apply to every user of BtSh, including visitors and registered users. By accessing or using the Platform, you agree to be bound by these Terms. Where additional policies apply (e.g., Privacy Notice, Cookie Notice, Community Guidelines), they are incorporated into these Terms.
BtSh provides workflow support such as: account management, load posting, assignment coordination, record keeping, optional payment tracking, and activity logging. BtSh may introduce features over time, but the Platform is designed around minimal automation and human-led operations.
BtSh does not supervise physical loading/unloading. Parties must independently confirm identity, cargo condition, and documentation at pickup and delivery.
By accepting or executing any load coordinated via BtSh, the Carrier acknowledges and agrees that the Dispatcher is entitled to a commission equal to eight percent (8%) of the agreed freight amount payable to the Carrier for that load, unless otherwise explicitly agreed in writing within the Platform.
The Carrier authorizes BtSh to record, track, and where applicable deduct or reflect such commission from settlements processed through the Platform.
The Carrier agrees to pay BtSh a two percent (2%) platform usage fee calculated on the total freight payable to the Carrier for each load executed via the Platform.
This fee supports system infrastructure, compliance monitoring, escrow management, audit logging, and operational oversight.
The Shipper agrees to pay BtSh a thirteen and a half percent (13.5%) platform fee calculated on the base freight amount for each load posted and executed via the Platform.
The Shipper acknowledges that Value Added Tax (VAT) at the prevailing statutory rate (currently 7.5% in Nigeria) shall apply to the Platform Fee only.
The Shipper authorizes BtSh to collect and remit VAT to the appropriate government authority as required by law.
Dispatchers acknowledge that a five percent (5%) Withholding Tax (WHT) may be deducted from their commission earnings in accordance with Nigerian tax law, and remitted to the appropriate government authority.
Dispatchers further agree to a five percent (5%) platform service charge on earned commission to support operational infrastructure, compliance systems, and enforcement mechanisms.
All users agree that withdrawals from the Platform wallet may attract bank charges, processing fees, payment gateway fees, or other third-party costs, which shall be borne by the withdrawing user.
Dispatchers acknowledge that they may be require to buy 500 personal point value (500PV) or minimum of 100PV monthly from every earnings for personal health investment (PHI) for personal Neolife business growths and that a minimum of 50% or less of all earnings may be reinvested to Neolife business.

BtSh may require verification steps such as identity checks, business checks, vehicle checks, and documentation uploads. BtSh may suspend or restrict accounts that fail verification or violate these Terms.
Where escrow has been funded but the load has not proceeded beyond pickup, the Shipper agrees that any refund shall be calculated as:
The Dispatcher commission remains payable because coordination, sourcing, negotiation, and administrative work have already been performed.
Where the load has proceeded beyond pickup, entered transit, or where operational resources have been committed, any refund shall be determined at the sole discretion of BtSh Admin, based on investigation, documented activity logs, mileage, time invested, asset deployment, and financial calculations.
Such determination shall be final unless otherwise required by law.
Users agree not to initiate unjustified chargebacks. Where a chargeback is initiated without valid grounds, BtSh reserves the right to suspend accounts and recover associated costs.
The Platform is provided “as is.” BtSh does not guarantee uninterrupted access, error-free operation, or outcomes of third-party performance. BtSh is not liable for loss arising from the physical transport of goods, except where required by law.
You agree to indemnify BtSh for claims arising from your breach, unlawful goods, misrepresentation, or negligence.
BtSh may suspend or terminate accounts for violations, fraud risk, repeated disputes, non-payment of fees, or compliance concerns. Users may stop using the Platform at any time, subject to outstanding obligations (fees, disputes, or verified claims).

Where escrow functionality is used, funds are held for transaction transparency and workflow integrity. Escrow is not a banking service and does not create a trust, custodial, or fiduciary relationship.
Escrow may expire automatically if payment is not completed within the system-defined timeframe based on load priority. Expired escrows may revert load status without liability to BtSh.
Repeated escrow failures, delayed funding, or deliberate payment avoidance may result in account restriction or suspension.
BtSh Admin reserves the right to investigate transactions, review communication logs, analyze financial records, and enforce corrective action where necessary.
Administrative decisions are based on documented platform records and may be final unless otherwise required by law.
BtSh wallets are operational ledgers used for transaction tracking. They are not savings accounts and do not generate interest.
